Terms and conditions

These Terms and Conditions govern the services (“Services”) provided by Infinity Soft Solutionz SMC PVT LTD, a Digital Marketing Company, located at PCSIR Phase 02, Johar Town Lahore, Punjab Pakistan. By engaging in any business transactions, communication, or service agreements with Infinity Soft Solutionz, you acknowledge and agree to the terms outlined below.

Service Provided:

Infinity Soft Solutionz offers a range of digital marketing services including, but not limited to:

  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) Advertising
  • Social Media Marketing and Advertising
  • Content Marketing and Copywriting
  • Website Design and Development
  • Email Marketing Campaigns
  • Analytics and Reporting
  • Consultation and Strategy Development

Specific services, deliverables, and timelines will be outlined in a Service Agreement tailored to each project.

Service Agreement:

Upon agreement to proceed, a detailed Service Agreement will be provided that outlines the scope of services, deliverables, timelines, fees, and payment terms. This Agreement will be specific to the project or services requested and shall take precedence over these general Terms and Conditions.

Client Responsibilities:

To ensure the effective provision of services, you agree to:

  • Provide us with all necessary access to your accounts, platforms, and any relevant information required to perform the services.
  • Respond promptly to requests for information, approvals, and feedback.
  • Maintain up-to-date and accurate contact details.
  • Ensure that all content provided to us (such as text, images, and videos) does not infringe upon the rights of any third party.
  • Ensure that all advertising and marketing activities conducted comply with applicable laws and regulations.

    Payment Terms

  • Fees: The fees for our services will be outlined in the Service Agreement or as otherwise communicated.
  • Invoicing: Invoices will be issued. Payment is due within 5 days from the invoice date.
  • Late Payments: Late payments may incur a 2% late fee, and services may be suspended until payment is received in full.
  • Refunds: Payments for services are non-refundable unless otherwise agreed upon in writing in the Service Agreement.

    Confidentiality

Both parties agree to maintain the confidentiality of proprietary or confidential information disclosed during the course of the business relationship. This includes, but is not limited to, marketing strategies, business plans, financial information, and customer data.

Intellectual Property Right

  • Any content, designs, or digital assets created by us during the course of the services remain the property of Infinity Soft Solutionz until full payment has been received.
  • Upon full payment, ownership of the final deliverables will transfer to the Client, subject to the payment terms.
  • The Client grants us the right to use their name, logo, and website as part of our portfolio and promotional materials unless otherwise agreed upon.

    Term and Termination

  • Term: This Agreement will remain in effect until the completion of the services outlined in the Service Agreement or until terminated as described below.
  • Termination: Either party may terminate the Agreement with 30 days’ written notice. Upon termination, the Client agrees to pay for any services rendered up until the termination date.
  • Suspension: We reserve the right to suspend or terminate services if the Client breaches this Agreement or fails to provide necessary access, approvals, or payments.

    Limitation of Liability

To the fullest extent permitted by law, Infinity Soft Solutionz shall not be liable for any indirect, incidental, special, or consequential damages arising out of the provision of services, including but not limited to loss of profits, business interruption, or loss of data

Indemnification

The Client agrees to indemnify, defend, and hold harmless Infinity Soft Solutionz, its officers, employees, agents, and affiliates from and against any and all claims, losses, liabilities, and expenses (including attorney’s fees) arising from the Client’s use of the services, content, or materials provided by Infinity Soft Solutionz, or the Client’s violation of any law, regulation, or third-party rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of  Pakistan without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising out of or in connection with this Agreement will be resolved through [mediation/arbitration] in [location]. If resolution cannot be achieved through mediation or arbitration, the dispute may be resolved in the courts of Pakistan

Amenments

We reserve the right to modify or update these Terms and Conditions at any time. Any amendments will be posted on our website https://infinitysolutionz.com/ and will become effective immediately upon posting. It is your responsibility to review these Terms periodically.

Miscelaneous

  • Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or agreements.
  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
  • Waiver: Any failure by either party to enforce any part of this Agreement will not constitute a waiver of that provision.
